SiteSledge Terms of Service

1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the services provided by SiteSledge LLC ("SiteSledge", "we", "our", "us"), including our website located at https://sitesledge.com and any related products or services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.


2. SERVICES

SiteSledge provides website design, website hosting (where applicable), marketing systems, automations, and related services built specifically for contractors and local service businesses.

We may modify, suspend, or discontinue any part of the Services at any time.


3. ELIGIBILITY

You must be at least 18 years old to use the Services. By using the Services, you represent that you are legally able to enter into a binding contract.


4. ACCOUNT REGISTRATION

To use certain features, you may need to create an account. You agree to:

  1. provide accurate and complete information

  2. maintain the confidentiality of your login credentials

  3. accept responsibility for all activity that occurs under your account

We may suspend or terminate accounts that contain inaccurate information or violate these Terms.


5. ACCEPTABLE USE

You agree to use the Services in compliance with all applicable laws and regulations. You must not:

  1. use the Services for unlawful, harmful, or fraudulent purposes

  2. interfere with or disrupt the Services, servers, or networks

  3. attempt unauthorized access to the Services or related systems

  4. transmit malicious code, spam, or abuse the platform

  5. violate the rights of SiteSledge or any third party

We may investigate suspected violations and take action including suspension or termination.


6. FEES AND PAYMENT

Certain Services require payment. You agree to pay all applicable fees as described in your service agreement, checkout, invoice, or subscription terms.

Unless required by law or explicitly stated in writing:

  • fees are non-refundable

  • partial months may not be prorated

If payments are overdue, we may suspend Services until payment is received.


7. SUBSCRIPTIONS, BILLING, AND CANCELLATION

If you purchase a subscription:

  • you authorize us to charge your payment method on a recurring basis according to your plan

  • subscriptions renew automatically unless canceled before the renewal date

To cancel, follow the cancellation instructions provided in your account or contact [email protected]. Cancellation stops future billing but does not automatically refund previous payments unless required by law.


8. INTELLECTUAL PROPERTY

All rights, title, and interest in the Services, including all software, templates, designs, trademarks, logos, content, and documentation are owned by SiteSledge or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these Terms.

You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or authorized by SiteSledge in writing.


9. CLIENT CONTENT

"Client Content" means any content you provide to SiteSledge for use in creating or operating your website or marketing systems (for example, text, images, logos, customer data, and business information).

You represent that you own or have the rights to use Client Content and that it does not infringe any third-party rights.

You grant SiteSledge a limited license to use Client Content solely to provide the Services.

You are responsible for backing up your Client Content and maintaining copies of all materials you provide.


10. THIRD-PARTY SERVICES

The Services may integrate with or rely on third-party services (for example, hosting providers, analytics tools, payment processors, messaging providers, or CRMs). SiteSledge is not responsible for third-party services, including their availability, performance, pricing, or policies.

Your use of third-party services is subject to the third party’s terms and policies.


11. CONFIDENTIALITY

Each party may receive non-public information from the other ("Confidential Information"). You agree to:

  1. keep Confidential Information confidential

  2. use it only to perform obligations or receive benefits under these Terms

  3. not disclose it except to employees/contractors who need to know and are bound by confidentiality obligations

Confidential Information does not include information that is publicly available through no breach of these Terms.

13. SMS MESSAGING TERMS

If you provide your mobile phone number and opt in through our website or forms, you consent to receive SMS messages from SiteSledge LLC.

  2. appointment confirmations and reminders

  3. service-related notifications and updates

  4. customer support communications

  5. marketing/promotional messages only where you have explicitly consented

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITESLEDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.


15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITESLEDGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  1. YOUR USE OR INABILITY TO USE THE SERVICES

  2. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS

  3. ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES

IN NO EVENT WILL SITESLEDGE’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SITESLEDGE IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER, UNLESS REQUIRED BY LAW.


16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SiteSledge, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to:

  1. your use of the Services

  2. your Client Content

  3. your violation of these Terms

  4. your violation of any law or third-party rights


17. TERMINATION

We may suspend or terminate your access to the Services at our sole discretion, with or without notice, if you violate these Terms or if we reasonably believe continued access creates risk.

Upon termination:

  • your right to use the Services stops immediately

  • outstanding fees become immediately due (if applicable)


18. GOVERNING LAW

These Terms are governed and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.


19. DISPUTE RESOLUTION AND ARBITRATION

Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration in Cheyenne, Wyoming, in accordance with the rules of the American Arbitration Association, except where prohibited by law.

You and SiteSledge waive the right to a jury trial and to participate in class actions, to the maximum extent permitted by law.


20. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post updates on this page and update the Effective Date. If changes are material, we will provide notice as required by law.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
